Data Room

A data room is the collection of property documents that a buyer uses during due diligence. These documents include the survey, title report, rent roll, violation search, leases, environmental reports, and zoning analysis. A complete data room speeds up the due diligence process because buyers are not waiting on documents. It can also reduce the risk of a re-trade, because the seller has already identified any possible issues. Most owners think the data room is the broker's job to gather after they get an offer. In reality, having it ready before launch is what separates clean closings from messy ones.

Example: A seller in Crown Heights lists a mixed-use building without a data room. Three buyers go under contract over eight months — the first walks after discovering two open DOB violations, the second re-trades $200,000 after finding a rent-stabilized tenant the seller hadn't disclosed, and the third closes only after a 45-day due diligence extension. A complete data room at launch would have surfaced all three issues before the first offer came in.
